Terms of Service
These Terms of Service ("Terms") govern your use of the PiePiper software, the piepiper.ai website, and any related services (collectively, the "Service"). Please read them carefully. By using the Service, you agree to these Terms.
1. Acceptance
By installing, downloading, or otherwise using PiePiper, or by joining the waitlist on the website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
PiePiper is a memory layer that you install on your own computer. It captures, stores, and retrieves facts and context from your conversations with AI assistants. Most processing happens locally on your machine. Some optional features (paid plans, cloud sync, fine-tuned model downloads) may involve our servers or third-party providers as described in the Privacy Policy.
We may modify, suspend, or discontinue parts of the Service at any time. We will give reasonable notice for changes that materially affect paying customers.
3. Beta period
While PiePiper is in beta, the Service is provided "as-is" and "as-available". We may push frequent updates, change behavior, and break features. You should not rely on the beta version for critical workloads. Bug reports and feedback are welcome and appreciated.
4. Your account
You are responsible for keeping your account credentials and any third-party API keys (OpenAI, Anthropic, etc.) secure. We do not store your third-party API keys on our servers; you configure them locally in the PiePiper app.
You must be at least 16 years old to use the Service. By using the Service you confirm that you are at least 16, or that a parent or legal guardian has consented on your behalf.
5. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Attempt to reverse-engineer, decompile, or extract the proprietary parts of the Service beyond what applicable law allows.
- Resell, sublicense, or redistribute the Service without our written permission.
- Use the Service to generate, store, or distribute illegal or harmful content (CSAM, real-world harm instructions, etc.).
- Probe, scan, or test the vulnerability of any system or network we operate without our permission.
- Use the Service to send spam or unsolicited communications.
- Use the Service in a way that interferes with other users.
6. Your AI provider keys (BYOK)
PiePiper lets you bring your own API keys for OpenAI, Anthropic, or other AI providers. When you do, PiePiper calls those providers directly from your machine using your key. You are responsible for the costs and any terms imposed by those providers. We do not see your usage of those providers or store your keys.
7. Paid plans
Some features are available only on paid plans. When paid plans launch:
- Pricing and the features included in each plan are described on the website's Pricing section.
- Subscriptions renew automatically at the end of each billing period unless you cancel before renewal.
- You may cancel at any time. Cancellation takes effect at the end of the then-current billing period; we do not pro-rate refunds for partial months.
- If a payment fails, we may suspend access to paid features until payment is resolved.
- Refunds outside the statutory cooling-off period are at our discretion. EU consumers retain their statutory 14-day cooling-off right under the Consumer Rights Directive, except where you have asked us to begin providing the Service immediately.
8. Intellectual property
PiePiper, including its source code, trained models, design, logos, and documentation, is owned by us and protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain all rights to the data you create or process using PiePiper (your conversations, memories, exports). You grant us only the narrow, revocable license needed to provide the Service to you.
9. Feedback
If you send us suggestions, feature requests, or feedback, you agree we may use them to improve the Service without obligation to you. We will not identify you publicly without your permission.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EXTRACTED MEMORIES WILL BE ACCURATE OR COMPLETE.
PiePiper uses AI models that may produce incorrect or misleading information. Do not rely on PiePiper's output for medical, legal, financial, or other consequential decisions without independent verification.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THAT PERIOD, OR (B) EUR 100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, liability for gross negligence, willful misconduct, or death/personal injury caused by negligence under EU consumer law).
12. Indemnification
You agree to defend and indemnify us from third-party claims arising out of (a) your misuse of the Service, (b) your violation of these Terms, or (c) your violation of any law or third-party right. This obligation does not apply to claims caused by our own willful misconduct or where excluded by applicable consumer protection law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, engage in abusive behavior, or if required by law. On termination, sections that by their nature should survive (IP, disclaimers, limitation of liability, governing law) will survive.
14. Changes to these Terms
We may update these Terms over time. The "Last updated" date at the top reflects the most recent change. For material changes, we will give notice on the website and, where appropriate, by email to active users. Continued use of the Service after a change means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of Finland, without regard to conflict-of-laws rules. Disputes will be resolved by the courts of Finland, except where mandatory consumer protection law gives you the right to bring proceedings in your country of residence.
16. Miscellaneous
- Severability: if any provision of these Terms is found unenforceable, the rest remain in effect.
- No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between us about the Service.
